The Website www.scienceetmer.com(hereafter "the Site") is published by PHYCEE COSMETIQUES, simplified joint stock company with capital of 20,000.00 Euro, registered at the Paris Trade and Companies Register under number 823 000 799, with headquarters at 13 rue de Caumartin 75009 Paris (Intracommunity VAT No. FR 08823000799). The Director of the publication is Mr. Arnaud HENRY, in his capacity as chairperson of the company.

The purpose of this Site is to sell cosmetic products (hereinafter the "Products") marketed by the PHYCEE COSMETIQUES company under the SCIENCE & MER brand name, to Clients who are non-professional consumers. The Products are strictly intended for your personal use, therefore the Client, over 18 years old with a full legal capacity, is informed that the sum of their order may not exceed one thousand (1,000) Euro.

 

 

The present General Terms and Conditions of Sale determine the terms and conditions of sale for Products via the Site. They complement the Conditions of Site Use applicable to the Client and may be viewed at any time in the "Legal Notice" section. By ordering one or more products on the Site, the Client confirms full acceptance of, and agreement with, the present General Terms and Conditions of Sale. The Client confirms to have taken full knowledge of the General Terms and Conditions of Sale prior to confirming their order.

 

These General Terms and Conditions of Sale may be subject to modification at any point in time. Nevertheless, the General Terms and Conditions of Sale applicable to the Order are those accepted by the Client at the time the order is placed.

 

 

1. THE ORDER

 

1.1 The products

 

The products offered for sale on the Site are those marketed by PHYCEE COSMETIQUES under the brand name Science & MER. The essential properties of each product are described accurately on a product sheet. Also, in order to take knowledge of the properties and characteristics of Products that they wish to order, the Client is invited to refer to the relevant Product description. Furthermore, if the Client wishes to obtain advice about Products from a qualified professional, the Customer Service department is available to provide advice and may be contacted in the "Contact Us" section of the Site.

 

1.2 Product Availability

 

Product offers shall be construed as within the limits of available stocks. Should the Product(s) no longer be available after order confirmation, despite the attentiveness of PHYCEE COSMETIQUES, the Client shall be informed as soon as possible. The Client shall subsequently have the option of either changing or cancelling their order. In the event of cancellation of the order by the Client due to Product unavailability, PHYCEE COSMETIQUES shall issue a refund for sums paid by the Client within a maximum period of thirty (30) days following the cancellation.

 

1.3 Prices of products sold on the Site

 

Product prices are indicated in Euro (€) and include the VAT applicable on the date the order is placed. The prices do not however include the delivery costs which are provided below. PHYCEE COSMETIQUES reserves the right to modify its prices at any time. The Products will however be invoiced according to the applicable rates in force at the time of order confirmation.

 

1.4 Terms of the order

 

Once the desired Product has been selected, the Client is invited to place it in their shopping cart by clicking the "Ask for a quote” check box. To place the order, the Client shall log on to the site and provide the information requested.

 

1.5 Order confirmation

 

Once the Client has confirmed their shopping cart, they will be invited to select their billing and delivery address, the method of delivery (see point 3 below), and the method of payment (see point 2 below). At this stage, the Client shall acknowledge the present General Terms and Conditions of Sale by clicking the check box "I have read, and I accept the General Terms and Conditions of Sale".

 

Acceptance of the General Terms and Conditions of Sale constitutes an irrevocable acceptance without reserve of the order placed by the Client. The Client is invited to click “Confirm” to confirm their order. A summary of the order shall then be available.

 

Once the payment has been confirmed, the Client shall be sent an e-mail confirmation of their order at the address that they provided, recapping the properties of the Product(s) ordered(s), the method of payment, delivery, transport costs, the price paid, the conditions for exercising the right of withdrawal, and the contact information for the after-sales service.

 

The Client formally accepts the use of electronic mail for the confirmation by PHYCEE cosmetics of the content of his order.

 

1.6 Order cancellation

 

PHYCEE COSMETIQUES reserves the right to cancel any order in the event of a dispute with the Client and to do so until the dispute is settled or for any other legitimate reason, particularly regarding the abnormal nature of the order. Furthermore, the Client is reminded that they are entitled to exercise their right of withdrawal in accordance with point 4 below. 

 

 

2. PAYMENT

 

Payment for the order is made in full on-line on the Site by credit card (Carte Bleue, Visa, Eurocard/Mastercard or American Express) or via the PayPal secure payment system. Credit card or PayPal transactions are made safe by the CITELIS PAYLINE secure on-line payment system. All information exchanged to process the payment is encrypted using the SSL (Secure Socket Layer) protocol. A bank authorisation request is carried out at each transaction in compliance with PCI-DSS standards and with 3D secure protocol authentication.

 

This data cannot be detected, intercepted or used by third parties. The CITELIS PAYLINE company is certified by Visa, Mastercard and American Express. These certifications ensure that operational processes and technical solutions used by CITELIS PAYLINE meet the most stringent criteria in terms of trade security and bank account data protection. Once the transaction has been confirmed, the Client returns to the Site. Their order becomes irrevocable. The order shall be processed once the payment has been confirmed. The Client guarantees that they are fully entitled to use the chosen method of payment.

 

PHYCEE COSMETIQUES cannot be held responsible for any wrongdoing or fraudulent use of the method of payment used and which would not have been detected by the verification procedure. Any fraudulent use of the credit card shall not entitle the Client to be reimbursed by PHYCEE COSMETIQUES.

 

 

3. PRODUCT DELIVERY

 

The order is delivered to the address indicated by the Client within a maximum of thirty (30) business days as of receipt of the order confirmation e-mail. Any errors or missing information in the delivery address and identity information provided by the Client shall release PHYCEE COSMETIQUES from its responsibility regarding any incident or delay which may occur during the delivery.

Orders are dispatched via Colissimo to the delivery address indicated by the Client in their order and within the contractual Colissimo delivery times.

 

Colissimo Domicile – without a signature

 

Once we have prepared your parcel for dispatch, it will be delivered to you within approximately three business days, directly to your mailbox. If your mailbox is not large enough and you are not available to take receipt of your parcel, a non-delivery notice will be issued allowing you to either select on-line a new delivery date over the next 6 business days, or to collect your parcel from 3pm on the following day at a post office of your choice. Failing this, you may collect your parcel from your local post office within 15 days of issuance of the non-delivery note.

Colissimo Europe Domicile – with signature

 

Once we have prepared your parcel for dispatch, it will be delivered to you within approximately 3 to 7 business days and delivered against signature. If you are not available to take receipt of your parcel, a non-delivery notice will be issued allowing you to either select on-line a new delivery date over the next 6 business days, or to collect your parcel from 3pm on the following day at a post office of your choice. Failing this, you may collect your parcel from your local post office within 15 days of issuance of the non-delivery note.

Colissimo Collection Point

 

With Colissimo Collection Point, several options are available for collecting your parcel:

 

– At the Post office,

you may select the post office where you want to collect your parcel (without prior home delivery) from one of the 9,000 post offices available in Metropolitan France. Once we have prepared your parcel for dispatch, it will be delivered to you within approximately 3 business days and you will be informed of the delivery by SMS and email. You may then collect the parcel within 10 business days of this notification. Past this period, your parcel will be returned to us.

You may track your parcel on www.colissimo.fr

 

– At a Pickup relay, you may select any of the 7,500 local Pickup points, in your area, near your place of work or place of vacation, where you wish to be delivered. Once we have prepared your parcel for dispatch, it will be delivered to you within approximately 3 business days and you will be informed of the delivery by SMS and email. You may then collect the parcel within 10 business days of this notification. Past this period, your parcel will be returned to us.

– At a Pickup station point, you may select any of the 500 automatic pick-up station points for delivery of your parcel. These Pick-up Station points are located along your journey (train stations, underground stations, car-parks, shopping centres)and can be accessed 24/7 (except for pick-up points subject to the opening times of shopping centres and stations). Once we have prepared your parcel for dispatch, it will be delivered to you within approximately 3 business days and you will be informed of the delivery by SMS and email. The latter will provide you with codes for collecting your parcel and your parcel will be available for collection over the next 3 business days. Past this period, your parcel will be returned to us. N.b. Orders placed after 12 o’clock on Friday will be processed on the following Monday.

 

 

Upon receipt of Products ordered, the Client shall check the conformity and condition of the order.

 

Any defect identified upon delivery should be reported by the Client on the delivery note upon receipt of the parcel, and must be reported on the day of receipt or, at latest, on the first business day following receipt, to our Customer Services via email at the following address commande@scienceetmer.com or by phone on +33 (0)1 44 50 50 10 or via the "Contact Us" section of the Site.

 

Upon receipt of the e-mail indicating the Client’s wish to return the Products on account of the defect identified upon delivery, a return label will be sent to the client by e-mail allowing them to return the Products free of charge. Products must be returned unused and in their original packaging. Any claims submitted after this deadline will be considered inadmissible. The order shall be deemed as delivered in good condition and shall not be subject to subsequent dispute.

 

For any reason for Product return other than the right of withdrawal as described in point 4 (non-compliant or damaged Product / missing Product), Customer Services shall provide the Client with all necessary information to meet its requirements to the extent possible and, if necessary, to organise a new delivery.

 

 

4. RIGHT OF WITHDRAWAL

 

The Client may withdraw, without reason, their order within a period of fourteen (14) days from the date of receipt of the ordered Products. When this fourteen (14) day period expires on a Saturday, Sunday or public holiday, it is extended to the first following working day. To exercise their right of withdrawal, the Client shall send a statement by e-mail expressing their willingness to retract in clear and unambiguous terms. This statement shall state the Client’s name and address, the order number and date, and lastly the items and quantities.

 

Within the withdrawal period indicated above,the Client shall return the unused, intact Products, in their original packaging, together with a copy of the declaration stating their exercise of the right of withdrawal to the following address: : PHYCÉE COSMÉTIQUES - Technature - ZAC de Lannuzel - 29460 DIRINON - commande@scienceetmer.com - Phone: +33 (0)1.44.50.50.10

 

Failing the return of Products within a fourteen (14) day period from the date of receipt, the order is deemed to be final and no refund will be issued, with the exception of cases provided for in the present General Terms and Conditions of Sale. For health and safety reasons, PHYCEE COSMETIQUES reserves the right to refuse Products returned by the Client unsealed. The cost of returning Products is incumbent upon the Client. If the terms and conditions mentioned above are fulfilled, all sums paid by the Client shall be refunded as soon as possible and at latest, within thirty (30) days following the date of the Client’s notification of exercising their right of withdrawal.

 

 

5. FORCE MAJEURE

 

PHYCEE COSMETICS cannot be held responsible for the total or partial non-execution of any of its obligations where such non-execution arises due to an event that constitutes a case of force majeure or due to an unforeseeable and unavoidable act of a third party.

 

 

6. LEGAL WARRANTY

 

PHYCEE COSMETIQUES is bound to a warranty of compliance (Article 217-4et seq. of the French Consumer Code) and to a warranty relating to the defects of items sold (Article 1641 et seq. of the French Civil Code). If the Client identifies a defect, the PHYCEE COSMETIQUES Customer Services may be informed at the following address: PHYCÉE COSMÉTIQUES - Technature - ZAC de Lannuzel- 29460 DIRINON - commande@scienceetmer.com - Phone: +33 (0)1.44.50.50.10

 

Customer services will then notify the Client about the procedure for returning the defective product or products. If non-compliance of the Product or Products is confirmed, PHYCEE COSMETIQUES shall proceed either with the replacement or repair of the returned Product or Products. The Client is hereby informed that they have a time limit of two years from the date of receipt of the Product to take action within the framework of the legal warranty of compliance, irrespective of any commercial warranty provided. They are exempt from proving the non-compliance for twenty-four months following the receipt of the product or products. Subject to the conditions set out in Article L 217-9 of the French Consumer Code, the Client may choose either the repair or replacement of the Product or Products.

 

Should the Client decide to take action in the framework of the legal warranty relating to defects of goods sold according to Article 1641 of the French Civil Code, they will then be entitled to choose between cancellation of the sale or a reduction in the purchase price.

 

Article L 217-4 of the French Consumer Code

The seller shall deliver goods that comply with the contract and is liable for any defects in existence at the time of delivery. The seller is also liable for any defects resulting from the packing, assembly instructions or installation, where it is made responsible for the latter by the contract or if they have been performed under its responsibility.

Article L 217-5 of the French Consumer Code

In order to comply with the contract, goods must:

1° Be fit for the purposes usually associated with such a product and, where applicable: 

- Match the description provided by the seller and have the same qualities as those presented to the buyer in sample or model format; 

- Have the qualities a buyer is legitimately entitled to expect given any public statements made by the seller, manufacturer, or their representative, particularly in terms of advertising or labelling; 

2° Or feature the characteristics jointly agreed upon by the parties or be suitable for any special use required by the buyer and brought to the seller’s attention and accepted by the seller.

Article L 217-9 of the French Consumer Code

In the event of a defect in conformity, the buyer may choose between having the item repaired and having it replaced. However, the seller may choose not to heed the buyer’s choice if this choice entails a cost that is clearly disproportionate with respect to the alternative option, given the value of the item or the scale of the defect. In such a case, the seller is then required to proceed, unless it is impossible to do so, with the option not chosen by the buyer.

Article L 217-12 of the French Consumer Code

Any action arising from a defect in conformity is subject to a statute of limitation for two years starting from when the goods are supplied.

Article 1641 of the French Civil Code

The seller is bound to a warranty on account of the latent defects of the item sold which render it unfit for its intended use, or which so impair that use that the buyer would not have acquired it or would have paid a lower price had they been aware of said defects.

 

 

7. DATA PROTECTION

 

Personal data collected by PHYCEE COSMETIQUES within the framework of internet sales is necessary for processing, delivering and invoicing orders. 

This data is strictly confidential.

The processing of personal data gathered on the Site is subject to formal declaration registered with the National commission for information technology and civil liberties [CNIL] under number 2097761 V 0

In accordance with the Act of 6 January 1978 Data Protection Act, the Client is hereby informed that he/she has the right to access, correct and delete his/her personal data. 8. INTELLECTUAL PROPERTY

 

The PHYCEE COSMETIQUES company owns the domain name scienceetmer.com

The Site is a work of authorship protected by current legislation relating to intellectual property. The Site and everything that enters into its composition (such as trademarks, logos, photographs, images, illustrations, texts and videos) are the exclusive property of PHYCEE COSMETIQUES, which is the only entity authorized to use the intellectual property rights and personality rights related thereto. It is strictly forbidden to reproduce, represent or use the Site or any of its component elements, in whole or in part, by any means or in any form whatsoever, for any other purpose, including commercial.

Requests for permission to reproduce material from the Site shall be addressed to PHYCEE COSMETIQUES.

 

 

9. PARTIAL INVALIDITY

 

If one or several clauses of the present General Terms and Conditions of Sale are deemed to be invalid or declared as such in application of a law, a regulation or following a court order from a competent jurisdiction, all other stipulations shall retain their force and their effect.

 

 

10. ENTIRE AGREEMENT

 

The present General Terms and Conditions of Sale and the order summary sent to the Client represent the entirety of the existing contractual relations between both parties. In the event of contradiction between these documents, the General Terms and Conditions of Sale shall prevail.

 

 

11. APPLICABLE LAW

 

The present General Terms and Conditions of Sale are subject to French law regardless of the country of residence of the Client and the location of the order confirmation. Failing conciliation, any dispute concerning the interpretation, performance or breach of contract between PHYCEE COSMETIQUES and the Client shall be subject to the exclusive jurisdiction of the courts of Paris.

Any change in the applicable VAT rate will automatically be applied to the price of Products. All prices are quoted ex factory, excluding taxes, excluding transport costs, excluding specific packaging and packing. PHYCEE COSMETIQUES reserves the right to modify its prices at any time. The Products will however be invoiced according to the applicable rates in force at the time of order confirmation.

 

1.4 Terms of the order

 

Once the desired Product has been selected, the Client is invited to place it in the shopping cart by clicking the "Ask for a quote” check box. To place the order, the Client shall log on to the site and provide the information requested. The creation of a new Client account is subject to a preliminary authentication procedure operated by PHYCEE COSMETIQUES, at the end of which an access code shall be sent to the Client within a maximum of 48 hours. This access code should be kept by the Client for use on any subsequent orders.

 

1.5 Order confirmation

 

Once the Client has confirmed their shopping cart, they will receive an email confirming that their request for a quote is being processed and will be sent later by e-mail. The Client will then be invited to accept the quote and therefore confirm the order.

 

They shall select their method of payment and acknowledge the present General Terms and Conditions of Sale by clicking the check box "I have read, and I accept the General Terms and Conditions of Sale". Acceptance of the General Terms and Conditions of Sale constitutes an irrevocable acceptance without reserve of the order placed by the Client. A summary of the order shall then be available.

3. PRODUCT DELIVERY

 

Delivery times are provided for reference only and do not entitle the Client to cancel the sale, to refuse delivered goods or to claim damages and interests. In the event of anomalies or missing products incurred during transport, the recipient shall be responsible for making reservations upon delivery of the goods and for taking appropriate action against the carrier within the required time-frame in accordance with Articles 105 and 106 of the French Commercial Code.

 

All claims relating particularly to deliveries, quantities, condition of delivered goods and their conformity with the Client’s order shall be submitted by registered post and sent within 48 hours of the date of receipt of goods by the Client, failing which they shall be inadmissible. Claims should be directed to the carrier and to the PHYCEE COSMETIQUES company at 13 rue de Caumartin 75009 Paris.

 

It is the Client's responsibility to prove the actual defects or faults noted. The Client shall allow our company to proceed with its own inspection of the non-conformity of the orders in question or apparent product conformity defects.

 

In the event of a delivery acknowledged by our company to be non-compliant or defective, our responsibility will in any event be limited to the replacement of the said delivery in full or in part without compensation, for any reason whatsoever. In this case, the replacement will be made within the shortest time-frame possible, compatible with our production capacity, supply chain, and our other commitments.

 

Returns or exchanges shall not be accepted without the prior agreement of our company. Goods shall be returned under the following terms: the cost of shipping is incumbent upon the Client; goods are transported at the risk of the Client. Goods shall be returned in their original packaging and in good condition.

 

N.b. Orders placed after 12 o’clock on Friday will be processed on the following Monday.

 

4. WARRANTY

 

The Product warranty covers the defects resulting from defective materials or manufacturing if such defects are revealed before the date indicated on the specific product packaging (shelf life) and indicated on each sales unit. If no shelf life is indicated, the batch number refers to a production date. The product durability from this date is 36 months. The warranty does not cover any products that have been used and/or stored in an irregular manner, including non-compliance with the specifications listed on the instructions of use and/or storage.

 

Under this warranty, our only obligation, to the exclusion of any compensation or damages and interests, shall be the free replacement of goods identified as faulty by our services. Any product covered by the warranty shall first be submitted to our quality department whose approval is essential for any product replacements.

PHYCEE COSMETICS cannot be held responsible for the total or partial non-execution of any of its obligations where such non-execution arises due to an event that constitutes a case of force majeure or due to an unforeseeable and unavoidable act of a third party.

The present General Terms and Conditions of Sale are subject to French law regardless of the country of residence of the Client and the location of the order confirmation. Failing conciliation, any dispute concerning the interpretation, performance or breach of contract between PHYCEE COSMETIQUES and the Client shall be subject to the exclusive jurisdiction of the courts of Paris.
